This unilateral MAP Policy preserves brand equity, promotes fair competition, and protects retailer margins. It applies to all public advertising of Fay Essentials products across print, digital, email, social, marketplaces, shopping engines, apps, POS materials, and any other public medium within the United States.
1) Purpose & Scope
This Policy applies to all authorized retailers, distributors, resellers, and partners (collectively, “Partners”) who advertise, market, or promote Fay Essentials products in the U.S. Only official Fay Essentials accounts may list on marketplaces (e.g., Amazon, Walmart, Etsy, TikTok) unless expressly authorized in writing. Unauthorized resale is prohibited.
2) Key Definitions
Advertisement / Advertised Price: Any public price display or reference, including but not limited to product pages, category pages, Google Shopping, social ads, email, print, marketplace listings, price-comparison sites, and paid search.
MAP (Minimum Advertised Price): The lowest price at which a product may be advertised (not necessarily the final sale price). Fay Essentials sets and updates MAP per SKU.
Actual Selling Price: The final price at checkout; it may be lower than MAP provided the lower price is not publicly advertised.
Net Advertised Price: The displayed price after coupons, promo codes, instant rebates, loyalty redemptions, bundled value, or any other advertised value reduction is applied.
“Add to Cart to See Price”: Permitted as written when used for legitimate UX reasons and not to imply or conceal sub-MAP pricing.
3) MAP Standard (What’s Required)
Partners may not advertise any Fay Essentials product below the MAP set for that SKU. The net advertised price must remain at or above MAP after any publicly visible reductions. MAP is not MSRP and does not set a maximum price; advertising above MAP is permitted.
Compliant (Allowed)
- Selling below MAP at checkout when the lower price is not advertised (e.g., private cart discounts).
- “Add to Cart to See Price” when used for legitimate UX reasons and not to imply sub-MAP pricing.
- Private, non-advertised volume discounts and value-adds (e.g., free shipping) that do not reduce the effective advertised unit price below MAP.
Non‑Compliant (Prohibited)
- Any public ad showing a below‑MAP price (including strikethroughs).
- Public coupon codes, rebates, loyalty redemptions, or stacking that bring the displayed price below MAP.
- “Call for price,” “Request quote,” or forced add‑to‑cart used to conceal below‑MAP pricing.
- Bundles/gifts where the effective advertised unit price drops below MAP.
4) Marketplaces & Unauthorized Sellers
Only official Fay Essentials accounts may list our products on Amazon, Walmart, Etsy, and TikTok unless a seller is expressly authorized in writing. Fay Essentials may use platform brand-protection tools to remove unauthorized sellers, counterfeits, and price‑erosion tactics.
5) Promotional Windows & Exceptions
Fay Essentials may authorize temporary promotional MAP (a “MAP Holiday”) for specific SKUs with advance notice of dates and permissible advertised prices. Discontinued or closeout items may be exempted with written authorization.
6) Digital/E‑commerce Specifics
Homepage tiles, product detail pages, feed exports (Google Shopping), comparison engines, remarketing/retargeting, and social/influencer ads must reflect MAP. Email subject lines, hero prices, and coupon creatives must also be MAP‑compliant.
7) Monitoring & Enforcement
Fay Essentials monitors compliance via routine audits, automated tools, and market intelligence. This Policy is unilateral and non‑negotiable; Fay Essentials alone determines violations and available remedies.
Standard enforcement ladder (steps may be skipped for egregious/repeat issues):
1) Warning & cure: Written notice; 24 hours to correct and confirm.
2) Temporary action: Shipping hold and/or cancellation of open orders; increased monitoring for 90 days.
3) Removal/termination: Removal from authorized seller lists and termination of supply; additional legal remedies as appropriate.
Partners are encouraged (not required) to report observed violations with screenshots/URLs to care@fayessentials.com.
8) International Guidance
MAP is established in USD as a baseline. Currency conversions should maintain MAP intent; regional variations may be set by Fay Essentials. Cross‑border ads must respect the destination market’s MAP guidance where applicable.
9) Legal Framework & Antitrust
This is a unilateral policy, not an agreement with any seller. Nothing here dictates resale prices—only advertised prices. Fay Essentials may modify this Policy, the enforcement ladder, and MAP schedules at any time, with or without notice, on an as‑needed basis. Partners should avoid discussing pricing with other sellers.

Q: Can I sell below MAP?

A: Only if the displayed price after code remains at/above MAP. No public coupon stacking below MAP.
Q: Are bundles allowed?
A: Yes, if the effective advertised unit price for each included item remains at/above MAP.
Q: Can I list on Amazon or Etsy?
A: Only if Fay Essentials authorizes you in writing; otherwise listings may be removed.

Fay Essentials LLC — Authorized Seller Criteria & Terms of Authorization

These criteria govern eligibility to become and remain an Authorized Seller of Fay Essentials products. Authorization is discretionary and may be modified or revoked by Fay Essentials at any time.
1) Eligibility & Application
Provide legal business name, physical address, primary contacts, tax IDs, and applicable licenses. Disclose all planned sales channels and related entities.
2) Sales Channels & Territory
Authorized channels will be specified in writing. Marketplace listings (e.g., Amazon, Walmart, Etsy, TikTok) require separate written authorization per storefront. No cross‑listing outside approved channels or outside approved territories.
3) Sourcing & Inventory Integrity
Source only from Fay Essentials LLC or its approved distributors. Maintain invoices for traceability. No diversion, liquidation sources, or procurement from other marketplaces.
4) MAP Compliance & Pricing Practices
Comply with the Fay Essentials MAP Policy at all times. No advertised pricing below MAP. Coupons, bundles, and promotions must keep the effective advertised unit price at or above MAP. “Add to Cart to See Price” is permitted as written and must not be used to conceal sub‑MAP pricing.
5) Brand Standards & Content
Use only current, approved product images, descriptions, and claims provided by Fay Essentials. No alterations to packaging or labels. No misleading, medical, or disease claims. Do not use Fay Essentials trademarks in corporate names, domain names, or social handles without written consent.
6) Customer Experience & SLAs
Meet minimum service levels: ship within 2 business days unless otherwise stated; use reliable carriers with tracking; honor returns consistent with Fay Essentials policies; respond to customer inquiries within 1 business day.
7) Quality, Storage & Handling
Store products in clean, climate‑appropriate facilities; follow FIFO; monitor expiration dates; do not repackage, relabel, or alter lot/batch codes.
8) Data & Reporting
Provide reasonable sales, inventory, and customer service reports upon request. Maintain batch/lot traceability to enable recalls or quality actions if needed.
9) Audits & Inspections
Fay Essentials may audit Authorized Sellers, including requesting invoices or visiting facilities with reasonable notice.
10) IP & Advertising Controls
Respect Fay Essentials intellectual property. Follow any guidance on PPC keywords, restricted terms, and comparison advertising. Remove infringing or non‑compliant content promptly upon notice.
11) Confidentiality
Treat non‑public information (pricing, MAP schedules, new product plans) as confidential.
12) Violations & Remedies
Violations may result in warnings, temporary shipping holds, increased monitoring, delisting from Authorized Seller rosters, termination of supply, and other remedies. Severe violations (e.g., counterfeit, safety issues) may result in immediate termination.
13) Term & Termination
Authorization is at‑will and may be modified or revoked by Fay Essentials at any time, with or without cause.
14) Acceptance
Continuing to purchase or advertise Fay Essentials products after receipt of these criteria constitutes acknowledgment and acceptance
